Section 01

Eligibility and accepting these terms

By accessing or using ToolDirectory.AI you agree to these Terms. If you don’t agree, please don’t use the site — that’s the whole transaction.

You must be at least 18 years old, or the legal age of majority in your jurisdiction, and have the legal capacity to enter into a binding agreement. Using the site is your representation that both of those are true.

Throughout these Terms, “we,” “us,” and “our” mean ToolDirectory.AI. “You” means the person reading this — whether you’re casually browsing reviews or running a tool we list.

Section 02

Acceptable use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the site for your personal, non-commercial purposes. The list below covers the cases that come up most often.

  • Reading reviews, comparing tools, browsing categories
  • Creating an account and submitting a tool for review
  • Sharing a link to a public page on the site
  • Linking to us from your own site or social posts
Prohibited
  • Automated scraping, crawling, or bulk data extraction without written consent
  • Reverse engineering, decompiling, or modifying any part of the site
  • Building a competing or substantially similar directory from our content
  • Transmitting malware, exploits, or anything that disrupts the service
  • Harvesting user information, impersonating others, or misrepresenting affiliation
  • Violating applicable law or any third-party rights

You also agree to comply with all applicable laws, rules, and regulations while using the site. We reserve the right to suspend or terminate access if any of the above lines get crossed.

Section 03

Your content and the license you grant us

“User Content” means anything you submit through the site — reviews, ratings, comments, submitted tool listings, images, or other materials.

You keep ownership of your User Content. By submitting it, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display that content in connection with operating and promoting the site.

You’re solely responsible for what you submit. You represent and warrant that you have the rights and permissions needed to grant the license above, and that your content doesn’t infringe anyone else’s rights or break any law.

We don’t vouch for User Content. Reviews and submissions reflect their authors, not us. We may remove or modify any User Content that violates these Terms or our editorial policies — and we read what gets reported.
Section 04

Our intellectual property

The site itself — its design, code, editorial content, methodology, and the way the database is organized — is owned by us or our licensors and protected by intellectual property laws. Using the site doesn’t transfer any of those rights to you.

Trademarks, logos, and service marks displayed on the site belong to their respective owners. Don’t use anyone’s marks without permission from the owner, including ours.

Except as expressly allowed in these Terms, you may not modify, reproduce, distribute, create derivative works of, publicly display, perform, or otherwise exploit any part of the site or its content without our prior written consent.

Section 05

Third-party links, services, and affiliate links

The site links to a lot of third-party tools — that’s the whole point of a directory. We don’t control those sites and aren’t responsible for their content, privacy practices, or what they do once you click through. Visit them at your own risk.

Some integrations on the site are operated by third parties. Your use of those is governed by their terms, not ours.

Affiliate disclosure. Some outbound links are affiliate links — we may earn a commission if you sign up or buy through them. This never influences which tools we list, our reviews, or where anything ranks on the site.

Disclaimers and limitation of liability

The site and services are provided on an “as-is” and “as-available” basis. We make no warranties — express or implied — about the operation, availability, accuracy, completeness, reliability, or suitability of the site for your particular purpose.

We don’t warrant that the site will be uninterrupted, error-free, secure, or free from viruses or other harmful components. You use it at your own risk.

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages — including lost profits, lost data, or loss of business opportunity — arising out of or in connection with your use of the site or services.

Indemnification. You agree to indemnify, defend, and hold us harmless from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of (a) your use of the site, (b) your violation of these Terms or any law, (c) your User Content, or (d) your violation of any third-party rights.

Section 07

Data deletion, governing law, and dispute resolution

Data deletion. To request deletion of data you created in your account, email support@tooldirectory.ai. All deletion requests must be made in writing and can take up to 60 business days to process.

These Terms are governed by the laws of New Jersey, USA, without regard to its conflict-of-laws principles.

    Talk to us first
    Most disputes can be resolved by emailing admin@tooldirectory.ai with a short description and what you’d like to see happen. We read every one.

    Binding arbitration in New York City
    Anything we can’t resolve directly will be settled through binding arbitration, with rules selected by ToolDirectory.AI at the time of the dispute. The arbitration takes place in New York City, NY and each party bears its own costs.
  3. 03
    Equitable relief and jurisdiction carve-out
    Either party may still seek equitable relief in court to enforce these Terms or to prevent infringement of intellectual property rights. For anything not subject to arbitration, you consent to the personal jurisdiction of courts located in New York City, NY.
Section 08

Changes to these terms and the fine print

We may modify or update these Terms at any time. When we make a material change we’ll post the updated Terms on this page and may notify you through other channels. Continuing to use the site after the effective date means you accept the revised Terms.

A few standard housekeeping clauses round it out: these Terms are the entire agreement between you and us; if any provision turns out to be unenforceable, the rest still applies; our failure to enforce a right isn’t a waiver of it; and you can’t assign these Terms without our written consent — we can.

Sections that by their nature should survive termination — your content, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive it.
